Welcome to Social Strudel!


Social Strudel is a platform designed to make brand-creator collaborations seamless. Whether you're a brand looking to launch an ambassador program or a creator seeking new opportunities, we connect the two sides in a structured and efficient way. Brands can find the right creators, invite them to participate, and track their engagement, while creators get access to exciting collaborations with clear expectations and rewards.

1. Account Creation
To use our services, you must create an account and provide accurate and complete information. Social Strudel reserves the right to verify the identity of users and may request additional documentation at any time. Accounts found to contain false or misleading information may be suspended or terminated. You are responsible for maintaining the confidentiality of your account login credentials and are liable for any activities or actions taken under your account.

2. Acceptable Use
You agree not to use our services for any illegal, harmful, or unauthorized purposes. You will not engage in any activities that may disrupt or interfere with the functioning of our platform or its users. Social Strudel reserves the right to investigate and take appropriate action against users who violate this policy, including, but not limited to, account suspension or termination.

3. Intellectual Property
All content and materials provided on our platform, including text, graphics, logos, and software, are protected by intellectual property rights and remain the property of Social Strudel or its licensors. You may not modify, copy, distribute, transmit, display, or create derivative works of any content without prior written permission.

4. Ambassador Program Participation
Creators may join ambassador programs through various methods including dedicated landing pages, embedded signup forms, Creator Hub invitations, or Brand Hub applications. The relationship between creators and brands varies based on the brand's subscription plan and the method of joining.

For brands with paid plans, creators who sign up through a brand's landing page or embedded form will be exclusively affiliated with that brand. These creators will not appear in the Creator Hub for other brands to discover, and they will not have access to the Brand Hub to browse or apply to other brand programs until they are dismissed from the current program.

For brands using a free plan, all creators who join their program, regardless of sign-up method, will not be exclusive to the brand. These creators will appear in the Creator Hub and will have access to the Brand Hub.

Creators who join through the Brand Hub or are invited via the Creator Hub may participate in multiple brand programs simultaneously, unless otherwise specified. Creators are responsible for accurately completing activities according to the brand's instructions. Brands have the sole discretion to approve or reject submitted activities based on their compliance with the stated requirements.

All creators must comply with the terms of service of all social media platforms used for completing activities. Social Strudel is not responsible for any violations of third-party platform terms.

5. Activities and Rewards System:
Brands create activities with specific point values that ambassadors complete to earn points. Points earned are specific to each brand and cannot be transferred between different brand programs. Brands may set limits on activities, including total completion limits, frequency limits, and expiration dates. Points do not expire under normal circumstances. However, all accumulated points will be forfeited if:

• The ambassador is dismissed from a brand's program
• The brand terminates their ambassador program
• Social Strudel terminates either the brand's or ambassador's account for violations of these Terms

Activities that have already been completed by creators must be honored unless there is fraud or a platform policy violation. Social Strudel reserves the right to verify the authenticity of completed activities and may request additional information or documentation from creators to confirm compliance with brand requirements. Social Strudel may collect, analyze, and share with brands data regarding ambassador performance, including but not limited to engagement rates, completion times, and social media metrics.

6. Modification of Activities and Rewards Policy
Companies using Social Strudel can cancel, modify, or adjust activities and rewards at any time. Activities that have already been completed by creators must be honored unless there is fraud or a platform policy violation. Brands are encouraged to communicate any changes transparently and promptly.

7. Groups and Ambassador Management
Brands may create groups to organize ambassadors based on criteria such as audience size, content type, social platform, geographic region, or other segmentation factors. Ambassadors may be added to multiple groups simultaneously. Brands may assign different activities and rewards to specific groups. Assignment to groups does not create any additional rights or entitlements for ambassadors beyond those specifically communicated by the brand.

8. Privacy
Our Privacy Policy explains how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of this information as described in our Privacy Policy.

9. Third-Party Links and Content
Our platform may contain links to third-party websites or services. We do not endorse or control the content, products, or services provided by these third parties. You access and use these third-party websites or services at your own risk, and we are not responsible for any damages or losses resulting from your interactions with them. Social Strudel may incorporate AI-driven content recommendations and third-party integrations. We do not guarantee the accuracy or reliability of such content and disclaim any liability arising from its use.

10. Limitation of Liability
We strive to provide accurate and reliable information, but we do not guarantee the completeness, accuracy, or reliability of any content on our platform. To the maximum extent permitted by applicable law, Social Strudel and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities.

Social Strudel's total liability for any claims arising from these Terms of Service or your use of the platform shall not exceed the amount you paid to Social Strudel in the twelve (12) months preceding the claim. Social Strudel is not liable for any disputes between brands and creators, including payment disputes, content ownership disputes, or activity completion disputes. Social Strudel is not responsible for the actions, content, information, or data of third parties, and you release us from any claims and damages arising out of or in any way connected with any such disputes.

11. Termination
We reserve the right to suspend or terminate your access to our platform, without prior notice, if you violate these Terms of Service or engage in any unauthorized or harmful activities. Upon termination, all licenses granted to Social Strudel and participating companies shall survive, unless otherwise stated. Social Strudel is not responsible for issuing refunds or payments related to terminated accounts.

12. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, USA, without regard to its conflict of law principles. Any disputes arising under these Terms of Service shall be resolved through binding arbitration in Phoenix, AZ, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding.

Users waive their right to participate in class-action lawsuits or class-wide arbitration. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of Social Strudel must be filed within one (1) year after such claim or cause of action arose, or be forever barred. No action, regardless of form, arising out of these Terms of Service may be brought by either party more than one year after the cause of action has arisen

13. Changes to the Terms of Service
We may modify these Terms of Service at any time at our sole discretion. Any changes will be effective upon posting the revised version on our platform. We may provide notification of material changes through a service notice or via email to the address associated with your account. Your continued use of our services after the changes will indicate your acceptance of the modified Terms of Service. If you do not agree to the new terms, you must stop using the platform and terminate your account.


14. Credit System and Payments
Companies use credits to invite creators to their ambassador programs in the Creator Hub. The number of credits required per creator varies based on factors determined by Social Strudel. Credits cannot be used for anything other than inviting creators.

Monthly Credits are refreshed at the start of each billing month. For example, a basic user receives 30 credits per month. If they spend 5 credits on invitations, their balance reduces to 25. However, at the start of the next month, their monthly wallet resets back to 30 credits. Unused monthly credits do not roll over.

Purchased & Bonus Credits purchased through credit packs have no expiration and will roll over if unused. Extra credits rewarded by portal's events will be added to this extra wallet and won't reset monthly.

After 14 days, if an invited creator doesn't respond (neither accepts nor declines), the invitation will expire, and half of the credits spent on that invitation will be credited back to the brand's account, rounded up for odd numbers. For example, invitations worth 7, 9, or 11 credits will have 4, 5, and 6 credits respectively returned to the brand's account. No credits will be credited back if a creator explicitly declines an invitation.

Any abuse of the credit system, including fraudulent transactions, may result in account suspension or termination.

15. Refund and Cancellation Policy
All sales of credits and platform services are final. Social Strudel does not offer refunds for unused or expired credits. If a company cancels an activity before creators have participated, credits may be refunded to their account for future use. If an activity is canceled after creators have completed the requirements, rewards must still be honored unless fraud or policy violations are proven. Social Strudel reserves the right to determine eligibility for refunds in cases of technical errors or platform malfunctions.

16. Creator Hub Usage
The Creator Hub is exclusively for brands to discover and invite content creators. Creators affiliated with brands on free plans will appear in the Creator Hub regardless of their sign-up method. Companies agree to use the Creator Hub responsibly and in accordance with Social Strudel's policies.

17. Brand Hub Access
The Brand Hub is where creators apply for ambassador opportunities. Creators who sign up through a brand's landing page or embedded form will not have access to the Brand Hub while affiliated with that brand, but only if the brand has a paid plan. Creators affiliated with brands on free plans will have access to the Brand Hub regardless of how they signed up.

Once a creator is approved by a company through regular channels, they retain access to the Brand Hub but can participate in multiple programs. Creators agree that their social media pictures, videos, and follower counts may be displayed to brands. Companies can manage their visibility in the Brand Hub through their Profile Settings. Social Strudel does not mediate disputes between creators and brands.

18. Credit System and Payments
Social Strudel provides functionality to generate PayPal mass export files to facilitate payments from brands to creators. Social Strudel is not responsible for processing payments or any associated fees, delays, or issues. Brands are solely responsible for fulfilling their payment obligations to creators, including processing payments, addressing payment issues, and covering any associated transaction fees.

Creators acknowledge that payment processing times, fees, and other payment-related matters are determined by the brand and the payment processor (e.g., PayPal), not by Social Strudel. Social Strudel does not guarantee payment from brands to creators and is not liable for any payment disputes.

19. Content Usage Rights and Media Gallery
By submitting content for an activity, creators grant brands an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free license to use that content. This includes modifying, repurposing, and using the content for marketing and promotional purposes across all media channels, both existing and those yet to be developed. Creators waive any right to ownership, royalties, or further compensation. Creators may request removal if the content is used in a misleading or defamatory manner.

Brands may view ambassador-submitted media in their Media Gallery for reference purposes. By submitting content, creators acknowledge that it may be stored and used by the brand in accordance with these Terms. Creators represent and warrant that all content they submit is their original work or that they have secured all necessary permissions and rights to grant the licenses described herein. Creators are responsible for ensuring that their content does not infringe on any third-party intellectual property rights or violate any applicable laws.

20. Tax Responsibilities
Users are responsible for any tax obligations related to their use of Social Strudel, including income earned from brands. Social Strudel does not provide tax advice or issue tax forms. Brands and creators should consult with tax professionals regarding their specific tax obligations.

21. Indemnification
You agree to indemnify, defend, and hold harmless Social Strudel, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

• Your access to or use of the Social Strudel platform
• Your violation of these Terms of Service
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right
• Any content you upload, post, email, transmit, or otherwise make available through Social Strudel
• Any misrepresentation made by you

This defense and indemnification obligation will survive these Terms of Service and your use of the Social Strudel platform.

22. Social Strudel Mobile App
The Social Strudel Ambassador App is available for download on iOS and Android devices. Ambassadors receive notifications about new activities and rewards through the app and via email. The app is free to download and use, but standard data charges from your mobile carrier may apply. Social Strudel reserves the right to update, modify, or discontinue the app at any time.

23. Force Majeure
Social Strudel shall not be liable for any failure to perform its obligations under these Terms of Service if such failure results from circumstances beyond Social Strudel's reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government action, labor strikes, or internet disturbance.

24. Data Storage and Backups
Social Strudel implements reasonable measures to protect and backup user data, but we do not guarantee the complete recovery of data in all circumstances. Users are advised to maintain their own records of important information related to their activities on the platform. Social Strudel reserves the right to set storage limits for user content and data at its discretion.

25. API Usage and Platform Integration
Social Strudel may provide APIs or other means for integration with third-party services or platforms. Any use of Social Strudel's APIs must comply with our API Terms of Use and these Terms of Service. Social Strudel reserves the right to limit API access, modify APIs, or terminate API access at any time without notice. Users may not use APIs to scrape, extract, or mine data from the platform for purposes outside the intended scope of the API.

26. Platform Downtime and Maintenance
Social Strudel will make reasonable efforts to ensure platform availability, but does not guarantee uninterrupted access. The platform may be unavailable during scheduled maintenance periods or unplanned outages. Social Strudel is not liable for any losses or damages resulting from platform downtime or maintenance. Social Strudel will attempt to provide advance notice of scheduled maintenance when practicable but reserves the right to perform emergency maintenance without prior notice.

27. Entire Agreement
These Terms of Service constitute the entire agreement between you and Social Strudel regarding your use of our platform and supersede any prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect.

By using Social Strudel, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
